Introducing Roll Up Vehicles for India

Today, we are announcing Roll Up Vehicles (RUVs) for India — AngelList’s Syndicate product for founders. With RUVs, founders will be able to add a group of accredited, value-add investors as a single new entry to their cap table with zero friction.

We wanted to draw on our learnings from having made hundreds of Syndicate investments in India to build a new product for founders — one that delivers immediate value at the time of raising and continued value through the lifetime of a company.

After running a closed beta that enabled startups like GoKwik, Grip Invest and GrowthX to successfully raise capital through RUVs from fellow founders, operators, early adopters and supportive friends, we were eager to introduce this product to our exciting startup ecosystem.

Chirag Taneja, Co-founder and CEO of GoKwik, used an RUV for his recent fundraise:

“AngelList India RUV is a great product which helped me pool in capital from both individual and institutional investors. AngelList’s dashboard allows you to track fundraising progress and minimise coordination woes. RUVs will be my go-to tool to fundraise from angels and smaller institutional investors.”

Fundraise With a Link

  • Use AngelList India’s self-serve product to set up and launch the RUV.
  • Configure investment terms, set an investment floor and cap, and directly invite RUV investors with a private link.
  • Use a dedicated dashboard to track who has passed, committed and wired the investment amount.
  • Manage post-investment updates and run pro-rata campaigns during subsequent rounds.

Udayan Walvekar, Founder of GrowthX, said:

“We had more than 100 investors, including founders and leaders from the top 1% startups in the ecosystem. Managing 100+ individual agreements would have been almost impossible and prohibitively expensive. Thanks to AngelList, the process was seamless — they handled a complex cap table, chased signatures, and reconciled 100s of wires. The RUV was a saviour for us.”

Minimal Administrative Overhead

  • AngelList India handles accreditation, KYC, collection of capital, document execution and closing in a manner that is fully compliant with SEBI (Alternative Investment Fund) Regulations.
  • AngelList India has collaborated with lawyers to draft sample Convertible Notes, allowing early-stage founders to close fundraising documentation with ease.
  • The single cap table entry will simplify corporate actions, future financing events, and even exits for the RUV.
  • RUVs are absolutely free for founders — AngelList India collects a one-time setup fee from RUV investors which is the equivalent of 2% of their investment amount.

Nikhil Aggarwal, Founder & CEO, Grip Invest, said:

“We were able to offer 80 of our top users the opportunity to invest in the company with cheques ranging from INR 3–25 lakhs per investor. Many investors are concerned about having to pay when investing via syndicates — the zero carry RUV structure alleviates that concern.

A large cap table is a very big drain on management bandwidth. The time spent in administration for signatures, follow-ups, consents is not productive for founders of young companies. Having a single shareholder through an AngelList India RUV makes this incredibly easy. AngelList’s team is also professional and understands the need for responding to ongoing portfolio management with speed.”
